Service Terms and Conditions

Project Scope and Timeline

All projects begin with a detailed scope definition and timeline agreement. Our standard delivery timeframe is 3 weeks for MVP development, subject to project complexity and requirements.

Payment Terms

• 50% deposit required before project commencement
• Remaining balance due upon project completion
• Additional features or scope changes may incur additional costs
• All payments are non-refundable unless otherwise specified

Client Responsibilities

• Provide necessary project requirements and assets in a timely manner
• Respond to communications and provide feedback within agreed timeframes
• Ensure all provided content is original or properly licensed
• Test and approve deliverables according to the agreed schedule

Intellectual Property Rights

Client Ownership

Upon full payment, clients receive full ownership of the custom code, designs, and deliverables created specifically for their project, excluding any third-party components or open-source libraries.

MVP Infra Rights

We retain rights to:

• General methodologies, processes, and know-how developed during the project
• Use project examples in our portfolio and marketing materials (with client consent)
• Pre-existing intellectual property and proprietary tools

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period for bug fixes and minor adjustments after project delivery.

Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, MVP INFRA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MVP INFRA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE LIABILITY.

IN NO EVENT SHALL MVP INFRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS OR BUSINESS INTERRUPTION.

Confidentiality

We respect the confidentiality of your business information and will not disclose any confidential information shared during the course of our engagement, except as required by law or with your express consent.

Both parties agree to maintain confidentiality of proprietary information shared during the project.

Termination

Either party may terminate the agreement with written notice. In case of termination:

• Client remains responsible for payment of work completed up to termination date
• MVP Infra will deliver all completed work and transfer relevant files
• Any deposits or prepayments are non-refundable
• Both parties remain bound by confidentiality obligations

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles.

Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of [Your Jurisdiction].
